Preamble

These Terms of Service ("Terms") govern access to and use of the website located at https://getrespondly.ai ("Website") and the software-as-a-service platform made available thereon ("Service"), operated by GetRespondly.ai ("Respondly," "Company," "we," "our," or "us"), a product of ScaleupAlly. By accessing or using the Service, the user ("Client," "you," or "your") acknowledges that they have read, understood, and agree to be bound by these Terms.

1. Scope and Applicability

These Terms apply to all Clients who access or use the Service, including any associated features, integrations, or support services. Use of the Service is conditional upon acceptance of these Terms, and continued use shall constitute ongoing acceptance of any updates made in accordance with these Terms.

2. Nature of Service

Respondly provides an AI-powered platform designed to assist businesses in managing and automating inbound communications. The Service includes automated processing, classification, and response generation functionalities, which operate based on Client-provided data, configurations, and instructions. Respondly does not independently determine the purpose of processing Client Data and acts solely in accordance with Client instructions.

3. Client Obligations

The Client represents and warrants that it has the legal authority to use the Service and has obtained all necessary rights, consents, and authorisations required to submit and process Client Data. The Client further agrees that its use of the Service shall comply with all applicable laws and regulations. The Client shall remain solely responsible for the accuracy, legality, and integrity of Client Data, as well as for all outputs generated and any actions taken on the basis of such outputs.

4. Client Data and Processing

All data submitted to or processed through the Service ("Client Data") shall remain the property of the Client. Respondly shall process Client Data solely on behalf of the Client, in accordance with documented instructions, and only for the purpose of providing the Service. Respondly shall not use Client Data to train shared or general artificial intelligence models without the Client's explicit written consent.

5. Artificial Intelligence and Outputs

The Service utilises artificial intelligence and automated systems to generate or suggest responses. The Client acknowledges that such outputs may not be accurate, complete, or appropriate in all circumstances and may require human review prior to use. Respondly does not guarantee the correctness, reliability, or suitability of outputs, and all decisions and actions based on such outputs shall remain the sole responsibility of the Client.

6. Acceptable Use

The Client agrees not to use the Service for any unlawful, harmful, fraudulent, or abusive purpose, and shall not process data without an appropriate legal basis or consent. The Client shall not attempt to reverse engineer, disrupt, or interfere with the functioning of the Service, nor use the Service in a manner that infringes the rights of any third party. Respondly reserves the right to suspend or terminate access to the Service in the event of any violation of these Terms.

7. Third-Party Services

The Service may integrate with third-party platforms and services at the direction of the Client. Respondly does not control and shall not be responsible for the availability, performance, or security of such third-party services, nor for any data processed outside the Respondly platform.

8. Service Availability

Respondly endeavours to provide reliable access to the Service; however, the Service is provided on an "as available" basis, and Respondly does not guarantee uninterrupted or error-free operation. Service interruptions may occur due to maintenance, updates, or factors beyond Respondly's reasonable control.

9. Fees and Payment

Where applicable, use of the Service shall be subject to fees as agreed between Respondly and the Client. Unless otherwise specified in writing, all fees shall be non-refundable, and failure to make timely payment may result in suspension or termination of access to the Service.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. Respondly expressly disclaims all warranties, whether express or implied, including but not limited to warranties of fitness for a particular purpose, accuracy, reliability, completeness, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Respondly shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities. In all cases, Respondly's total aggregate liability arising out of or in connection with the Service shall not exceed the 1 Month fees paid by the Client preceding the event giving rise to the claim.

12. Indemnification

The Client agrees to indemnify, defend, and hold harmless Respondly from and against any claims, damages, liabilities, losses, or expenses arising out of or in connection with the Client's use of the Service, violation of these Terms, processing of Client Data in breach of applicable law, or any claim by an End User or third party.

13. Data Security

Respondly implements reasonable and appropriate technical and organisational measures designed to protect Client Data. However, the Client acknowledges that no system can be guaranteed to be completely secure, and Respondly does not warrant or guarantee absolute security.

14. Suspension and Termination

Respondly may suspend or terminate access to the Service in the event of a violation of these Terms, non-payment of fees, or where such action is necessary to protect the integrity or security of the Service. The Client may discontinue use of the Service at any time.

15. Governing Law and Jurisdiction

These Terms are governed by Indian law. All disputes arising under these Terms shall be settled through binding arbitration in New Delhi under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English by a sole arbitrator. The courts in New Delhi shall have exclusive jurisdiction over any ancillary legal proceedings.

16. Amendments

Respondly reserves the right to modify these Terms at any time to reflect changes in applicable law or business practices. Updated Terms will be published on the Website, and continued use of the Service shall constitute acceptance of such modifications.
